These terms govern the creation, operation and continued use of an Organiser Account on Ticket Cove.

1.1 These Organiser Platform Terms and Conditions (“Agreement”) govern the creation, operation and continued use of an Organiser Account on Ticket Cove and apply to every Event, listing, ticket sale and related service made available through the Ticket Cove Platform.
1.2 By creating an Organiser Account, accessing the Organiser Dashboard or publishing an Event through Ticket Cove, you confirm that you have read, understood and agree to be legally bound by this Agreement.
1.3 If you do not agree to this Agreement, you must not create an Organiser Account or use any Organiser Services provided by Ticket Cove.
1.4 This Agreement is legally binding between:
Gelos Network Limited, trading as Ticket Cove (“Ticket Cove”, “we”, “our” or “us”)
and
the individual, company, charity, organisation, partnership or other legal entity creating or operating an Organiser Account (“Organiser”, “you” or “your”).
For the purposes of this Agreement:
Account means an Organiser Account created on the Ticket Cove Platform.
Attendee means any person purchasing, receiving or using a ticket for an Event.
Booking Fee means the booking or service fee charged by Ticket Cove.
Chargeback includes any payment reversal, card dispute, payment dispute, retrieval request, chargeback fee or similar action initiated through any payment processor or card scheme.
Customer means any individual purchasing or attempting to purchase tickets.
Event means any performance, activity, experience, show, festival, exhibition, attraction or admission opportunity published through Ticket Cove.
Event Content includes event descriptions, artwork, photographs, logos, seating plans, pricing, videos, promotional material and all other information uploaded by an Organiser.
Organiser means the person or entity responsible for organising, promoting, operating or delivering an Event.
Platform means the Ticket Cove website, organiser dashboard, APIs, software, ticketing systems, scanning systems, mobile applications, integrations and associated services.
Settlement means payment made by Ticket Cove to an Organiser following ticket sales after applicable deductions.
3.1 Ticket Cove provides an online ticketing platform and associated technology services.
3.2 Unless expressly stated otherwise in writing, Ticket Cove does not organise, promote, manage, produce or operate Events listed by third-party Organisers.
3.3 The Organiser remains solely responsible for every aspect of each Event.
3.4 Nothing within this Agreement creates:
3.5 The Organiser acknowledges that Ticket Cove is primarily a technology platform facilitating ticket sales and associated services.
You warrant and represent that:
The Organiser warrants continuously throughout the duration of this Agreement that:
These warranties are ongoing and survive publication of an Event.
The Organiser agrees to provide:
The Organiser must keep all information current.
Failure to maintain accurate information constitutes a material breach.
Ticket Cove may require verification at any time.
Verification may include:
Ticket Cove may suspend any account pending satisfactory verification.
Verification is not a one-off process.
Ticket Cove may request updated documentation whenever reasonably necessary.
Failure to provide requested documentation may result in:
Every Event listing must:
The Organiser remains solely responsible for Event Content.
The Organiser accepts sole responsibility for:
Ticket Cove assumes none of these responsibilities unless expressly agreed in writing.
Ticket Cove may refuse any:
No reason need be provided where disclosure could prejudice fraud prevention, legal compliance or Platform security.
The Organiser acknowledges that Ticket Cove's goodwill, reputation and relationships with customers, payment providers, venues, regulators and commercial partners are valuable business assets.
Ticket Cove may suspend, remove or refuse any Organiser or Event where, in its reasonable opinion, continued publication could adversely affect:
The Organiser must not:
Ticket Cove may refuse or remove Events including but not limited to:
The Organiser warrants appropriate insurance is maintained throughout the duration of every Event.
Where applicable this includes:
Evidence must be provided upon request.
Failure to maintain insurance constitutes a material breach.
The Organiser warrants all required licences have been obtained including where applicable:
Ticket Cove has no responsibility for obtaining licences.
The Organiser warrants ongoing compliance with:
The Organiser warrants they own or possess all rights necessary to upload:
The Organiser grants Ticket Cove a worldwide, non-exclusive, royalty-free licence to reproduce, adapt, display, distribute and use such content solely for the purpose of operating, promoting and administering the Platform and the Organiser's Events.
Ticket Cove operates active fraud prevention systems.
Ticket Cove may investigate:
Ticket Cove may suspend activity immediately pending investigation.
The Organiser warrants that neither the Organiser nor any person acting on its behalf will knowingly use Ticket Cove for:
The Organiser agrees to cooperate fully with lawful requests made by Ticket Cove, payment processors, financial institutions or competent authorities relating to financial crime investigations.
21.1 Ticket Cove may use one or more independent third party payment service providers to facilitate the collection, processing, settlement and refund of payments.
21.2 The Organiser acknowledges that payment processing services are provided subject to the terms and conditions of the relevant payment processor.
21.3 Ticket Cove may change payment providers at any time without prior notice where reasonably necessary.
21.4 The Organiser authorises Ticket Cove to provide relevant information concerning the Organiser, Events and transactions to payment providers where reasonably necessary to provide the Platform or comply with legal or regulatory obligations.
21.5 Ticket Cove does not guarantee uninterrupted payment processing.
21.6 The Organiser accepts that payment processors may independently:
Ticket Cove shall not be liable for decisions made independently by a payment processor.
22.1 Ticket Cove will use reasonable endeavours to settle ticket revenue to the Organiser in accordance with the applicable settlement schedule published by Ticket Cove or otherwise agreed in writing.
22.2 Settlement dates are estimates only and are not guaranteed.
22.3 Ticket Cove may delay any Settlement where reasonably necessary to:
22.4 Interest shall not accrue on delayed Settlement amounts unless required by law.
23.1 Ticket Cove may establish and retain a financial reserve against future liabilities.
23.2 Reserve funds may be retained where Ticket Cove reasonably considers there is an increased financial, legal or commercial risk.
23.3 Circumstances may include:
23.4 Reserve amounts may be increased, reduced or released at Ticket Cove's reasonable discretion.
24.1 Ticket Cove may deduct from any Settlement any amount reasonably owed by the Organiser to Ticket Cove.
24.2 This includes but is not limited to:
24.3 The Organiser expressly authorises such deductions.
25.1 Where deductions exceed available Settlement funds, a negative balance shall arise.
25.2 The Organiser agrees to repay any negative balance immediately upon demand.
25.3 Ticket Cove may recover outstanding balances by:
25.4 Interest may accrue on overdue amounts at the rate of 4% above the Bank of England Base Rate, or such other lawful rate as Ticket Cove may notify from time to time.
26.1 The Organiser accepts sole financial responsibility for all Chargebacks arising from the Organiser's Events unless directly caused by Ticket Cove's negligence or breach of this Agreement.
26.2 This includes:
26.3 The Organiser shall cooperate fully in responding to Chargebacks.
26.4 Failure to provide requested evidence within the requested timescale may result in Ticket Cove accepting the Chargeback without further consultation.
26.5 Ticket Cove may determine, acting reasonably, whether defending a Chargeback is commercially appropriate.
26.6 Ticket Cove is under no obligation to contest every Chargeback.
27.1 Unless Ticket Cove is expressly identified as the Organiser, responsibility for customer refunds rests solely with the Organiser.
27.2 Ticket Cove may process refunds on behalf of an Organiser where appropriate.
27.3 Where Ticket Cove issues refunds on behalf of an Organiser, the Organiser authorises Ticket Cove to deduct all refunded amounts from current or future Settlement payments.
27.4 Where insufficient Settlement funds exist, the Organiser agrees to reimburse Ticket Cove immediately.
The Organiser accepts sole responsibility for decisions relating to:
Ticket Cove shall not be liable for losses arising from such decisions unless Ticket Cove is the Event Organiser.
29.1 The Organiser shall respond promptly and professionally to customer complaints.
29.2 Ticket Cove may forward complaints to the Organiser.
29.3 Where an Organiser fails to deal appropriately with complaints, Ticket Cove may intervene to protect customers or the Platform.
29.4 Such intervention shall not transfer legal responsibility for the Event to Ticket Cove.
The Organiser remains solely responsible for:
Ticket Cove accepts no responsibility for calculating or paying taxes on behalf of the Organiser unless expressly required by law.
The Organiser grants Ticket Cove permission to use Event information for:
The Organiser confirms all necessary rights have been obtained.
The Organiser warrants all promotional material supplied is:
The Organiser shall indemnify Ticket Cove against claims arising from inaccurate promotional material supplied by the Organiser.
Each party shall comply with applicable UK data protection legislation.
Where Ticket Cove shares customer information necessary for Event administration, the Organiser shall:
The Organiser shall keep confidential all non-public information concerning:
This obligation survives termination of this Agreement.
Ticket Cove may require reasonable evidence demonstrating compliance with this Agreement.
This may include:
The Organiser shall cooperate fully with reasonable audit requests.
36.1 Ticket Cove may suspend an Organiser Account immediately where it reasonably believes that suspension is necessary to:
36.2 During suspension, Ticket Cove may:
36.3 Where reasonably practicable, Ticket Cove will notify the Organiser of the suspension and the general reason for it, unless doing so would:
37.1 Ticket Cove may terminate this Agreement immediately by written notice where the Organiser:
37.2 Termination does not affect:
38.1 The Organiser may request closure of its Organiser Account by written notice.
38.2 Ticket Cove may delay closure where reasonably necessary to:
38.3 Closure of an Organiser Account does not extinguish any liability arising before the effective date of closure.
39.1 Subject to applicable law, the Organiser shall indemnify Ticket Cove against losses, liabilities, damages, costs and expenses reasonably incurred by Ticket Cove arising out of or in connection with:
39.2 The indemnity does not extend to losses to the extent they were caused by Ticket Cove's own negligence, fraud, wilful misconduct or breach of this Agreement.
40.1 Nothing in this Agreement excludes or limits liability where such exclusion or limitation would be unlawful.
40.2 Subject to clause 40.1, Ticket Cove shall not be liable for:
to the extent permitted by applicable law.
40.3 Ticket Cove shall not be responsible for:
40.4 Nothing in this Agreement makes Ticket Cove responsible for the legal obligations of an Organiser solely because the Organiser uses the Platform.
41.1 Neither party shall be liable for delay or failure to perform obligations under this Agreement to the extent caused by events beyond that party's reasonable control.
41.2 Such events may include:
41.3 The affected party shall use reasonable endeavours to minimise the impact of the event and resume performance as soon as reasonably practicable.
42.1 The Organiser shall maintain accurate records reasonably necessary to demonstrate compliance with this Agreement.
42.2 Records shall be retained for the period required by applicable law or for such longer period as is reasonably necessary in relation to unresolved disputes, Chargebacks or legal proceedings.
43.1 Formal notices under this Agreement may be served by:
43.2 The Organiser is responsible for ensuring that its contact details remain accurate and up to date.
44.1 The Organiser may not assign, transfer or otherwise dispose of its rights or obligations under this Agreement without Ticket Cove's prior written consent.
44.2 Ticket Cove may assign or transfer this Agreement as part of:
provided that such transfer does not remove rights that the Organiser has under applicable law.
The following provisions shall survive termination or expiry of this Agreement where applicable:
46.1 The Organiser shall cooperate fully and promptly with any reasonable investigation undertaken by Ticket Cove relating to:
46.2 The Organiser shall provide all information, records and documentation reasonably requested by Ticket Cove within the timescale specified.
46.3 Failure to cooperate may constitute a material breach of this Agreement.
47.1 The Organiser shall ensure that all communications with customers are:
47.2 The Organiser shall not falsely state or imply that Ticket Cove is responsible for decisions made solely by the Organiser.
47.3 Where Ticket Cove communicates directly with customers regarding an Event, the Organiser authorises Ticket Cove to provide factual information concerning bookings, Event changes, refunds, cancellations, postponements, venue changes, accessibility information or other operational matters where reasonably necessary to protect customers or the Platform.
The Organiser shall use reasonable endeavours to:
Repeated failure to maintain acceptable customer service standards may result in suspension or termination.
The Organiser shall not:
The Organiser shall immediately notify Ticket Cove of any suspected security vulnerability affecting the Platform.
Where Ticket Cove provides APIs or software integrations:
50.1 The Organiser shall use them only in accordance with documentation supplied by Ticket Cove.
50.2 Ticket Cove may suspend, modify or withdraw APIs at any time where reasonably necessary.
50.3 The Organiser shall not:
Where Ticket Cove receives an allegation that Event Content infringes intellectual property rights:
The Organiser shall cooperate fully and indemnify Ticket Cove in accordance with Clause 39 where the allegation arises from material supplied by the Organiser.
The Organiser shall notify Ticket Cove immediately if it:
Ticket Cove may immediately suspend settlements, remove Events or terminate this Agreement where reasonably necessary to protect customers or minimise financial exposure.
53.1 Where the acts or omissions of an Organiser cause a payment processor or financial institution to:
the Organiser shall be responsible for losses, costs and liabilities reasonably incurred by Ticket Cove to the extent those losses result from the Organiser's breach of this Agreement or unlawful conduct.
53.2 Ticket Cove may recover such amounts through Settlement deductions, invoice or any other lawful recovery method.
Where the Organiser fails to pay monies properly due under this Agreement, Ticket Cove may recover, where legally recoverable:
Ticket Cove may use manual or automated systems to monitor:
Such monitoring may be undertaken for fraud prevention, legal compliance, customer protection and Platform security.
Ticket Cove may:
Where changes materially affect Organiser use of the Platform, Ticket Cove will use reasonable endeavours to provide advance notice unless immediate implementation is required for legal, security or operational reasons.
57.1 Ticket Cove may amend this Agreement where reasonably necessary to:
57.2 Material amendments will normally be notified before taking effect.
57.3 Continued use of the Platform following the effective date of an updated Agreement constitutes acceptance of the revised terms.
57.4 If the Organiser does not accept a material amendment, the Organiser may cease using the Platform and request closure of the Organiser Account, subject to completion of all outstanding obligations under this Agreement.
This Agreement constitutes the entire agreement between Ticket Cove and the Organiser regarding use of the Organiser Platform and supersedes all previous discussions, understandings and agreements relating to its subject matter.
Nothing in this clause excludes liability for fraudulent misrepresentation.
Failure by Ticket Cove to exercise or enforce any right under this Agreement shall not constitute a waiver of that right or any other right.
A waiver shall be effective only if given expressly in writing.
If any provision of this Agreement is held by a court or competent authority to be invalid, unlawful or unenforceable, the remaining provisions shall remain in full force and effect.
Where possible, the affected provision shall be interpreted or modified to the minimum extent necessary to make it lawful while preserving its commercial intent.
Except where expressly stated, no person other than the parties to this Agreement shall have any right to enforce any provision under the Contracts (Rights of Third Parties) Act 1999.
This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
Subject to any mandatory rights that cannot legally be excluded, the parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of disputes arising under or in connection with this Agreement.
